Terms of Service

By visiting https://adibi.co.ukor engaging Adibi International for any service, you agree to these terms. “You” means the individual or organisation using our website or services. “We” means Adibi International, a UK-registered company.

Adibi International provides digital services including website development, application development, UI/UX design, graphic design, SEO, digital marketing, PPC advertising, and YouTube automation. We also operate AdibiLMS and AdibiTools as separate SaaS and free-tool products under their own terms.

Services are delivered under separate project agreements or proposals. These terms apply in addition to any specific proposal or contract.

• All quotes are fixed-price unless explicitly marked as estimates.
• Projects begin only after a written agreement and deposit payment (typically 50% upfront).
• The remaining balance is due on delivery unless agreed otherwise in writing.
• Late payments beyond 14 days of invoice date may incur a late fee of 2% per month.
• All prices are in GBP unless stated otherwise. International clients are responsible for any currency conversion fees.

Upon full payment of all outstanding invoices, you own the deliverables created specifically for your project — including design files, code, and written content.

We retain the right to display the work in our portfolio unless you request otherwise in writing before the project starts.

We retain ownership of any tools, frameworks, libraries, or reusable components we develop independently and use as part of your project. You receive a permanent, royalty-free licence to use them within your delivered project.

You are responsible for:

• Providing accurate briefs, content, and materials required for your project.
• Ensuring you have rights to any content (images, copy, data) you supply to us.
• Timely feedback and approvals — delays on your end may extend project timelines.
• Keeping login credentials and access details secure once handed over.

Each project proposal specifies the number of included revision rounds. Revisions beyond the agreed scope, or changes to the original brief mid-project, may be charged additionally at an agreed day rate. We will always notify you before charging for out-of-scope work — no surprises.

• You may cancel a project at any time by written notice.
• Work completed up to the point of cancellation will be invoiced and is payable.
• Deposits are non-refundable once work has begun.
• If we cancel a project (which we will only do for serious breach of these terms), we will refund any payment for work not yet delivered.

We warrant that our work will be delivered with reasonable skill and care, and that we have the right to provide the services agreed.

We do not guarantee specific outcomes from marketing, SEO, or advertising services — results depend on factors outside our control including platform algorithms, market conditions, and client-side implementation.

Our total liability for any claim arising from our services is limited to the amount you paid us for the specific project or service in question.

You may use this website for lawful purposes only. You must not:

• Attempt to access any part of our systems without authorisation.
• Use our website to transmit spam, malware, or harmful content.
• Reproduce, redistribute, or republish any part of our website content without written permission.

Our website links to external platforms including AdibiLMS, AdibiTools, and client work. We are not responsible for the content or privacy practices of third-party websites.

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

We may update these terms at any time. The date at the top reflects the last revision. Continued use of our services after a change constitutes acceptance.
